BOARDS OF DIRECTORS IN BRAZIL: LITERATURE REVIEW AND RESEARCH AGENDA

ABSTRACT Purpose: The purpose of this paper is to review and systematize previous studies on boards of directors in Brazil and propose an agenda to guide future studies. Originality/value: A conceptual model is developed to provide an integrated view for research on the board of directors, incorporating variables from different levels that connect governance mechanisms, best practices, board dynamics and company performance; we identified gaps for the research agenda. Design/methodology/approach: This review analyzed 95 articles on boards of directors in Brazil between 2000 and 2019. The review was conducted in three major steps: 1. planning; 2. conducting; and 3. organizing the data and reporting the findings. Findings: There is a growing interest in studying boards of directors in Brazil, with a wide range of topics. The most studied are board composition, best practices, diversity and gender. Despite the diversity, the previous studies are homogeneous in theoretical and methodological terms. Based on the agency theory, most articles sought to relate board demography to financial performance, and the findings are not convergent. This scenario opens up some research avenues to address topics that have not yet been explored, such as board processes, board tasks, and differentiation between board performance and company performance.

Diversity management and performance: The mediating role of satisfaction and commitment at work

Abstract Purpose: This article analyzed the relationship between diversity mana-gement and individual performance, examining the mediating role of satisfaction and commitment in this relationship. Originality/value: Diversity management has received attention from academia and organizations, given the need to promote equal opportunities for groups considered minorities in society. Therefore, it is important to understand the impacts that diversity management practices bring to organizations and individuals. There are few studies that address the impacts of diversity management on performance and even fewer studies that evaluate the mediating role of commitment and satisfaction in this relationship. Design/methodology/approach: A quantitative method was used, structural equation modeling, to test the hypotheses proposed in the study, with data collected through a questionnaire, applied to Brazilian workers, between the months of May and December 2022, obtaining a non-proba-bilistic sample of 563 respondents. Findings: The results showed that diversity management practices positively influence satisfaction and commitment, in addition to having a positive effect on individual performance when mediated by commitment. This means that commitment acts as a mediator between diversity management and performance, indicating that increasing diversity practices leads to increased commitment, which, in turn, raises workers’ performance. These are important results both for organizations and for defending affirmative policies towards increasing diversity in organi-zations.

Perspectivas da Pesquisa em Governança de Empresas Familiares no Brasil

Resumo Este artigo apresenta as perspectivas da pesquisa em Governança de Empresas Familiares no Brasil, resultantes da chamada desta edição especial da RAC endereçada ao tema. Os dois artigos tratam de temas relevantes no debate acadêmico, a saber: a necessidade de um arcabouço teórico para a avaliação de processos decisórios estratégicos de empresas familiares; e a importância da diversidade de gênero nos conselhos de administração destas empresas. As proposições e evidências elencadas nos dois estudos, relativas aos construtos e variáveis que apresentaram consistência teórica ou estatística, abrem uma nova frente de pesquisa sobre o tema no Brasil, relacionada à conciliação da heterogeneidade da composição dos Conselhos de Administração com a criação de valor em Empresas Familiares.
